Dished – Restaurant App Terms and Conditions (UK)
Effective Date: June 9, 2025
1. Introduction
1.1. These Terms and Conditions ("Terms") govern your use of the Dished restaurant platform and related services (the "Service") provided by Dished Pvt Limited ("Dished", "we", "us", or "our").
1.2. By registering as a restaurant partner or otherwise accessing or using the Service you agree to be bound by these Terms. If you do not agree, you must not register or use the Service.
1.3. Capitalised terms used but not defined in this section have the meanings given in Section 2 below.
2. Interpretation
2.1. In these Terms:
- Dished means Dished Pvt Limited, registered in England and Wales;
- Platform means the Dished mobile application, website and any related systems provided by Dished for the facilitation of Orders;
- Restaurant or you means any vendor, merchant or food provider registered on the Platform;
- Order means a Customer-placed request via the Platform;
- Customer means the end user placing an Order.
2.2. Headings are for convenience only and do not affect interpretation.
3. Prohibited Activities
3.1. You may not access or use the Service for any purpose other than as expressly authorised by these Terms. You agree not to, and shall not permit any third party to, do any of the following in connection with the Service:
- systematically retrieve data or other content to compile databases or directories without Dished's prior written permission;
- defraud, mislead or deceive Dished, Customers or other users; or attempt to obtain another user's account credentials;
- circumvent or interfere with security-related features of the Service (including copy- protection or usage restrictions);
- use the Service to harass, abuse, threaten, stalk or harm another person, or to disparage Dished or its services;
- misuse support channels or submit false reports of abuse;
- use the Service in violation of applicable laws or regulations;
- frame or link to the Service except as expressly permitted by Dished;
- upload viruses, malware or any code that disrupts, impairs or interferes with the Service or its users;
- use automated scripts, robots, scrapers or data-mining tools to access or extract data;
- delete, alter or obscure any proprietary notices (including copyright or trademarks) on the Service;
- impersonate any person or entity or use another user's account without permission; or
- attempt to reverse engineer, decompile or disassemble any software that is part of the Service.
4. Services Management
4.1. We reserve the right, but not the obligation, to:
- monitor the Service for violations of these Terms;
- take appropriate action (including reporting to law enforcement) against anyone who, in our sole discretion, violates applicable law or these Terms;
- refuse, restrict, suspend, limit the availability of, or disable any content you provide that is excessive in size or otherwise burdens our systems;
- remove or disable any of your content for non-compliance, safety, security, or in the interests of protecting our rights and property; and
- manage the Service to facilitate its proper functioning and security, without liability to you.
5. Account Registration & Onboarding
5.1. You must apply and be approved by Dished before you may accept Orders. Approval is at Dished's sole discretion.
5.2. If you represent your offerings with any specific claims (for example, "Halal", "organic", "vegan" or similar), you alone are responsible for ensuring those claims are accurate and compliant with all relevant standards. Dished does not verify any such claims.
5.3. Unless otherwise agreed in writing, there are no minimum operating requirements (e.g., opening hours, insurance) imposed by Dished, but you remain responsible for compliance with all applicable laws and regulations.
6. Menu, Pricing & Content
6.1. You are solely responsible for providing, maintaining and updating all menu items, pricing, descriptions, allergen information and images. Information you provide must be accurate and not misleading.
6.2. Dished may, at its discretion, amend, suspend or remove any listing, menu item or content for inaccuracy, non-compliance with these Terms or applicable law.
6.3. Price Parity: You covenant that prices for menu items on the Platform shall not exceed those offered to Customers via any other channel (including in-restaurant and other online marketplaces), unless otherwise agreed in writing.
6.4. You grant Dished a non-exclusive, worldwide, perpetual (for the duration of the listing) royalty-free licence to reproduce, adapt, publish, translate, distribute and display your menus, business name, trademarks, photos and other content for the purposes of operating, marketing and promoting the Platform.
7. Order Acceptance & Fulfilment
7.1. You accept full responsibility for accepting, preparing and fulfilling all Orders placed via the Platform.
7.2. You warrant that all food and beverages supplied:
- comply with all applicable food safety, hygiene and other laws and regulations;
- are fit for human consumption; and
- conform to any dietary, allergen or other information provided to Customers.
7.3. Dished will pass on to you any allergy or dietary information provided by a Customer, but you are solely responsible for acting on such information. Dished disclaims all liability for the quality, safety, fitness for purpose or accuracy of the goods or services you provide.
7.4. You shall handle refunds, customer complaints and service issues relating to Orders in accordance with the processes set out by Dished or as otherwise agreed between the parties; unless otherwise agreed in writing, the Restaurant remains primarily responsible for refunds and customer-facing remedies.
8. Payments, Fees & Payouts
8.1. Customers pay via the Platform; payments are processed by Stripe or such other nominated payment provider as Dished may use from time to time.
8.2. Dished will remit to you the Order value less a commission of five percent (5%) of the gross Order amount, unless otherwise agreed in writing.
8.3. For Orders paid in cash, Dished will charge an additional commission of two percent (2%) of the gross Order amount; that additional commission will be deducted from your payout, unless otherwise agreed in writing.
8.4. If any transaction, processing or interchange fee (including, without limitation, chargeback fees, cross-border card fees or other fees imposed by payment providers or card networks) is incurred which exceeds the standard commission rate set out in clause 8.2 and is directly attributable to the processing of a particular Order, such excess fee shall be charged to you and deducted from your payout unless otherwise agreed in writing. Dished will reflect such deduction transparently in your payout statement.
8.5. Dished may apply a minimum Order fee for Orders below a specified threshold and may apply surcharges for international card payments; such fees will be communicated via your account dashboard and are subject to change.
8.6. Payouts are made on a bi-weekly basis, with best efforts to process weekly, unless otherwise agreed in writing.
8.7. Dished may withhold, suspend or set-off payouts in whole or in part where reasonably necessary for fraud prevention, chargebacks, legal disputes, suspected breaches of these Terms, recoveries, or as required by law. Dished will notify you of any withholding unless doing so would prejudice an investigation or contravene legal obligations.
9. Promotions, Referrals & Loyalty
9.1. From time to time Dished may run Promotions (including promotions, referral schemes and loyalty programmes). Participation by Restaurants in any Promotion is voluntary. Dished will publish the specific terms and operational instructions for each Promotion.
9.2. Obligation to Honour Promotions. If you elect to participate in any Promotion, you shall:
- honour the Promotion in full and in accordance with its published terms for the entire Promotion Period (including any advertised end date); and
- not withdraw, terminate, materially amend or otherwise cease participation in the Promotion during the Promotion Period without Dished's prior written consent.
9.3. Loyalty Redemptions. Where a Promotion involves accrual of entitlements to Customers (for example, a "buy 10 get 1 free" loyalty scheme), you must not cease participation, remove eligible items, alter redemption mechanics or otherwise take any action that would frustrate or prevent a Customer from redeeming an entitlement that was validly earned prior to the end of the Promotion Period or any redemption date communicated to Customers, unless Dished has given prior written consent.
9.4. Remedies for Non-Compliance. If you fail to honour a Promotion you have validly joined, Dished may (without prejudice to any other remedy): (a) remove you from the Promotion; (b) suspend or terminate your access to Promotion-related functionality; (c) recover from you any amounts paid or payable to you in connection with the Promotion (including by way of set-off against payouts); and/or (d) treat persistent or material non-compliance as a material breach of these Terms entitling Dished to suspend or terminate this Agreement.
9.5. Notwithstanding the foregoing, Dished may, in its discretion, vary or withdraw any Promotion or agree different participation terms with you, provided that such variation will be notified to you in writing.
10. Intellectual Property & No Agency
10.1. The Platform, the Services and all associated intellectual property rights (including software, documentation, designs, trade marks and logos) are owned by Dished or its licensors.
10.2. You grant Dished a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, display, adapt and distribute any content you provide in connection with the operation and marketing of the Platform.
10.3. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Dished. You have no authority to bind Dished.
11. Suspension & Termination
11.1. Dished may, at its sole discretion, suspend or terminate your access to the Platform with immediate effect (and without liability) if you breach these Terms, misrepresent your offerings, engage in conduct prejudicial to Dished's reputation, or otherwise act unlawfully.
11.2. Either party may terminate these Terms on written notice if the other party commits a material breach and fails to remedy such breach within fourteen (14) days of receipt of written notice requiring remedy.
11.3. Termination shall be without prejudice to any rights or obligations accrued prior to termination.
12. Liability & Indemnity
12.1. Liability Exclusion. To the fullest extent permitted by applicable law, Dished shall have no liability to you for any loss, damage, cost or expense of any kind arising out of or in connection with these Terms, the Platform or the Services, whether in contract, tort (including negligence), breach of statutory duty or otherwise. Nothing in these Terms shall exclude liability for death or personal injury resulting from Dished's negligence or for any liability which cannot be excluded by law.
12.2. Indemnity. You shall indemnify, defend and hold harmless Dished and its affiliates, officers, directors, employees and agents from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your negligence, wilful misconduct or omission; (c) any claim by a Customer or third party relating to goods or services supplied by you; or (d) your failure to comply with applicable laws or regulations.
13. Data Protection
13.1. You shall comply with the UK GDPR and the Data Protection Act 2018 in respect of any personal data you process. You shall implement appropriate technical and organisational measures to protect such personal data.
13.2. Dished's Restaurant Partner Privacy Notice forms part of these Terms and explains how we process personal data. To the extent Dished processes any personal data on your behalf, the parties shall enter into a separate data processing arrangement if required by applicable law.
14. Force Majeure
14.1. Neither party shall be liable for any failure or delay in performance caused by events or circumstances beyond its reasonable control (including acts of God, strikes, pandemic, fire, flood, war, civil commotion, interruption of utilities, telecommunications or internet failures). The affected party shall notify the other promptly and use reasonable endeavours to mitigate the effect of the event.
15. Dispute Resolution
15.1. Informal Negotiation. The parties shall attempt to resolve any Dispute arising out of or in connection with these Terms by good faith negotiations. A party wishing to commence negotiations shall give written notice to the other party and the parties shall attempt to resolve the matter within thirty (30) days.
15.2. Court Proceedings. If the Dispute is not resolved within thirty (30) days of the notice referred to above, either party may commence proceedings before the courts of England and Wales.
16. Governing Law & Jurisdiction
16.1. These Terms are governed by and shall be construed in accordance with the laws of England and Wales.
16.2. The parties submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute arising out of or in connection with these Terms.
17. General
17.1. Variation. Dished may vary these Terms from time to time. Material changes will be notified to you by email or via the Platform. Continued use of the Platform after such notification constitutes acceptance of the updated Terms.
17.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.3. Entire Agreement. These Terms (together with any documents expressly referred to in them) constitute the entire agreement between you and Dished in relation to its subject matter and supersede any prior agreement or understanding.

By registering with or using the Dished Platform, you acknowledge that you have read, understood and agree to be bound by these Terms.
